Terms of Service
1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and Trades ("Trades," "we," "us," or "our"), which operates the website and services at findtrades.co (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. What Trades is
Trades is an online marketplace that helps general contractors and subcontractors find one another, post and discover jobs, exchange bids, message, and build a reputation. Trades is a venue only. We are not a party to any agreement, project, or transaction between users, and we do not employ, endorse, supervise, guarantee, or assume responsibility for any user, their work, their qualifications, or their conduct.
3. Eligibility
You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company, you represent that you are authorized to bind that company to these Terms.
4. Your account
You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your password and for all activity under your account. Notify us promptly of any unauthorized use.
5. Acceptable use
You agree not to:
- provide false, misleading, or fraudulent information, including about your identity, company, licenses, or insurance;
- post unlawful, infringing, harassing, discriminatory, or abusive content;
- spam, send unsolicited bulk messages, or harvest other users' information;
- scrape, copy, or reverse engineer the Service, or attempt to circumvent its security or access controls;
- use the Service for any unlawful purpose or in violation of any applicable law or regulation.
6. Jobs, bids, and reviews
Jobs, bids, awards, and the resulting work are arranged solely between users. Bids are intended to be private between the posting contractor and the bidding subcontractor. Reviews must reflect genuine, first-hand experience and must relate to a completed job awarded through Trades. You may not post fake, paid-for, or retaliatory reviews, or solicit reviews in exchange for compensation.
7. Licenses, insurance, and verification
Unless we expressly state that a specific item has been verified, all license, insurance, certification, and credential information on the Service is self-reported by users and is not verified by Trades. You are solely responsible for independently confirming any user's licenses, insurance, qualifications, and suitability before entering into any agreement or beginning any work. Any badges or labels are intended to communicate facts, not guarantees.
8. Your content
You retain ownership of the content you submit (such as company information, job posts, bids, messages, photos, and reviews). You grant Trades a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute that content as needed to operate and improve the Service. You represent that you have the rights to the content you submit and that it does not violate any law or third-party right.
9. Relationships and disputes between users
Any contract, payment, scheduling, scope, safety, insurance, licensing, and legal compliance for a project is solely between the users involved. Trades is not responsible for the performance, quality, legality, or safety of any work, for any payment between users, or for any dispute between users. You are responsible for resolving your own disputes, though we may, at our discretion, provide tools or assistance.
10. Beta service; no payments
The Service is provided during beta on an evolving basis. We may add, change, or remove features, and data or availability may be affected. Trades does not currently hold or process payments between users; any payments are handled directly between users outside the Service.
11. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any user, job, or bid will meet your expectations.
12. Limitation of liability
To the fullest extent permitted by law, Trades and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising from or related to your use of the Service or any dealing between users. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed one hundred U.S. dollars (USD $100).
13. Indemnification
You agree to indemnify and hold harmless Trades from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, your dealings with other users, or your violation of these Terms or any law.
14. Suspension and termination
We may suspend or terminate your access at any time, with or without notice, including for any suspected violation of these Terms or to protect users or the Service. You may stop using the Service and request that your account be closed at any time.
15. Changes
We may modify the Service or these Terms. If we make material changes, we will update the effective date above and may provide additional notice. Your continued use after changes take effect constitutes acceptance.
16. Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute not subject to other agreed dispute-resolution terms.
